Corporate Counsel

Overview 

Class Action Capital specializes in identifying and processing class action settlement claims for corporations and institutions. Our goal is to provide businesses with valuable options so they may make an informed decision as to what is best for their organization.  

As Corporate Counsel at Class Action Capital, you will be responsible for overseeing legal strategy, corporate development, preparing contracts and negotiations. The ideal candidate is a Legal Professional looking for a corporate environment to develop their career within litigation finance and engage in complex business opportunities and challenges. This position will entail close involvement with our management team, business development associates, outside counsel as well as potential and existing clients. 

 

Workplace Type: Hybrid  

 

Salary: $150-200k + Annual Bonus + Benefits/ PTO 

 

Responsibilities 

Manage and close domestic and international litigation finance transactions by drafting and negotiating term sheets; capital provision, claims/award aggregation, assignment and purchase agreements, security and intercreditor agreements; nondisclosure agreements; powers of attorney; escrow agreements and various ancillary transaction documents. 

Effectively structure, navigate, negotiate, and progress transactions to successful conclusion. 

Draft agreements, resolutions, policies, procedures, and other documents to implement and manage internal corporate structuring needs. 

Make necessary revisions to agreements and negotiation term sheets and on behalf of clients’ requests. 

Coordinate with other departments to help support M&A, business development, financing transactions, as well as various other projects and initiatives to facilitate a coordinated team approach. 

Analyze and manage any legal issues that may arise, minimize legal and operational risks, and support our efforts in ensuring effective and efficient operations and strong client relationships. 

Provide training and explanations on substantive legal topics to team members. 

Assist business development team with structuring and closing transactions by providing strategic guidance and effectively represent Class Action Capital on client-facing/business development activities. 

Educate and advise management on legal developments that could possibly affect the organization and provide innovative strategies or solutions to address any potential issues. 

Coordinate with outside counsel to ensure business objectives are met. 

Ad hoc legal research and analysis on an as needed basis. 

 

Requirements 

Juris Doctor Degree Required. 

5 – 7 years of relevant legal work experience. 

Understanding of class action settlements, litigation funding, or preferred but not required. 

Strong background in cross-border finance and secured transactions. Additional or alternative corporate experience, such as bankruptcy or Private or Public or M&A. 

Excellent interpersonal/people skills, including the ability to build relationships with highly sophisticated clients and to interact effectively at all levels of the organization. 

Familiarity with legal research and concepts, including disclosure and enforcement mechanisms in various jurisdictions. 

Proven experience contributing to strategic planning, training department or function in collaboration with senior management.
